1. Agreement to Terms

By accessing and using CodeForged's services, you agree to be bound by these Terms and Conditions. CodeForged provides software development services, specifically helping founders launch functional SaaS MVPs in 30 days with investor-ready design and market validation.

2. Services Description

CodeForged offers the following services:

  • Market Validation (Week 1): Research, benchmarks, and user insights to validate your SaaS idea
  • MVP Build (Weeks 2-4): Design and development of a functional SaaS prototype
  • Investor Package (Week 4): Polished pitch deck and product demo for investor presentations

3. Payment Terms

Payment terms are established in individual service agreements. All fees are due according to the payment schedule outlined in your specific contract. Late payments may result in project delays or suspension of services.

4. Intellectual Property

Upon full payment, clients retain ownership of the final deliverables. CodeForged retains the right to use project work for portfolio and marketing purposes unless otherwise specified in writing. Any pre-existing CodeForged intellectual property remains our property.

5. Project Timeline

Our standard MVP development timeline is 30 days (4 weeks). Timelines may be adjusted based on project complexity and client responsiveness. Delays caused by client feedback or additional requirements may extend the delivery timeline.

6. Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying necessary content, assets, and information
  • Making payments according to the agreed schedule
  • Communicating requirements clearly and promptly

7. Limitation of Liability

CodeForged's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages. Our services are provided "as is" without warranties beyond those required by law.

8. Termination

Either party may terminate the agreement with written notice. Upon termination, payment is due for all work completed. CodeForged retains the right to terminate services for non-payment or breach of terms.

9. Governing Law

These terms are governed by the laws of Chile. Any disputes will be resolved in the courts of Santiago, Chile.

11. Proposals, Scope and Changes

All proposals, statements of work, and estimates describe the scope, deliverables, timelines, and assumptions for your project. Any change to scope (including new features, revisions beyond the included rounds, or third-party integrations) will be handled through a change request and may affect fees and timelines.

12. Fees, Deposits, Invoices and Refunds

  • Deposits and discovery/strategy fees are non‑refundable once work has commenced.
  • Invoices are due as stated in your agreement. If not specified, invoices are due upon receipt.
  • Fees do not include third‑party costs (hosting, domains, SaaS subscriptions, stock assets, paid APIs), which are billed at cost or paid directly by you.
  • Refunds, where applicable, are governed by our Refund Policy and by the specific agreement for your project.

13. Late Payments; Suspension; Acceleration

We may suspend work, withhold access to deliverables, and/or pause environments for any past due amounts. Late payments may incur administrative fees and may push out timelines. We may require payment of all outstanding milestones before resuming work.

14. Deliverables; Acceptance; Revisions

  • Unless otherwise stated, each milestone includes up to one round of consolidated revisions aligned with the original scope.
  • Deliverables are deemed accepted if no written feedback identifying material non‑conformities is received within 7 days of delivery.
  • Post‑acceptance adjustments are billed as change requests.

15. Warranty; Bug Fixes; Support

  • We provide a limited warranty for critical bugs attributable to our work for 14 days after acceptance of the final milestone. Fixes exclude issues caused by third parties, environment changes, or out‑of‑scope requests.
  • Ongoing support, maintenance, uptime, and monitoring are not included unless purchased as a separate plan.

16. Client Responsibilities and Dependencies

  • You will provide timely feedback, approvals, credentials, and content. Delays or incomplete inputs may extend timelines.
  • You are responsible for compliance of your content and business model with applicable law and third‑party terms.

17. Third‑Party Services and Open Source

Projects may rely on third‑party services, libraries, or open‑source components. We are not liable for third‑party outages, pricing changes, security incidents, or feature deprecations. We will follow applicable licenses and reasonable industry practices when integrating such components.

18. Intellectual Property and Licenses

  • Upon full payment of all amounts due, you receive ownership of the final project deliverables specifically created for you, excluding our pre‑existing materials, tools, frameworks, and know‑how.
  • We grant you a non‑exclusive license to our pre‑existing IP as embedded in the deliverables, solely for use of the deliverables.
  • We may reuse non‑confidential learnings, generalized code, and components in future projects.

19. Publicity and Portfolio

Unless otherwise agreed in writing, we may reference your project in our portfolio and marketing materials, limited to non‑confidential information.

20. Confidentiality

Each party shall protect the other party’s confidential information with reasonable care and use it only to perform under this agreement. These obligations continue for three (3) years after disclosure, or longer if required by law.

21. Non‑Solicitation

During the project and for 12 months thereafter, you agree not to solicit for employment or contract any CodeForged personnel who worked on your project, without our prior written consent.

22. Indemnification

You agree to indemnify and hold CodeForged harmless from claims, damages, liabilities, and expenses arising from: (a) your content, data, or instructions; (b) your misuse of deliverables; or (c) your breach of these terms or applicable law.

23. Force Majeure

Neither party is liable for delays or failures due to events beyond reasonable control, including but not limited to outages, cyber incidents, labor disputes, government actions, or natural events. Timelines will be adjusted accordingly.

24. Chargebacks and Payment Disputes

You agree not to initiate chargebacks for authorized payments. If a dispute arises, you will notify us and allow reasonable time to resolve before seeking remedies through your payment provider.

25. Termination Consequences

  • Upon termination, you will pay for all work performed and committed third‑party costs up to the termination date.
  • We may deliver work‑in‑progress artifacts upon request, subject to payment of all outstanding amounts.

26. Miscellaneous

  • Entire Agreement: These terms together with any proposal/statement of work form the entire agreement.
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • Assignment: Neither party may assign without consent, except to an affiliate or in connection with a merger or sale.
  • Notices: Formal notices must be in writing and sent to the contacts specified in your agreement.
